Terms of Service

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Gray Group International, Inc. (“GGI,” “we,” “us,” or “our”), governing your access to and use of the Elysium platform (“Elysium,” the “Platform,” or the “Service”), including all associated websites, APIs, native applications, agent systems, marketplace features, and related services.

1. Acceptance of Terms

By creating an account, accessing, or using the Elysium platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms, policies, or guidelines referenced herein or posted on the Platform (collectively, the “Agreement”).

If you are using the Platform on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement, and references to “you” or “your” in these Terms shall include both you as an individual and the entity you represent.

You must be at least 13 years of age to use the Platform. If you are between the ages of 13 and 18, you must have the consent of a parent or legal guardian. By using the Platform, you represent that you meet these age requirements.

If you do not agree to all of the terms and conditions of this Agreement, you must not access or use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

Elysium is an AI-powered agent platform that enables users to deploy, manage, and interact with autonomous and semi-autonomous AI agents. The Platform provides the following capabilities:

2.1 Core Platform Features

  • AI Agent Interactions — Conversational interfaces for communicating with AI agents powered by large language models, including single-agent and multi-agent group conversations
  • Task Automation — Automated task execution, workflow orchestration, and multi-step process management through AI agents
  • Browser and System Automation — AI agents capable of controlling web browsers, executing shell commands, and performing system-level operations on your behalf
  • Knowledge Management — Knowledge graph, document storage, vector search, and research capabilities for organizing and retrieving information
  • Third-Party Integrations — OAuth-based connections to external services including Notion, Slack, GitHub, Google Calendar, Gmail, Google Groups, and Figma
  • Native Applications — Desktop (macOS) and mobile (iOS) applications for accessing the Platform

2.2 Marketplace and Economic Features

  • Agent Marketplace — A marketplace for discovering, sharing, and trading AI agent templates, skills, and configurations
  • Digital Wallets — Platform wallet system for managing credits, transactions, and marketplace purchases
  • Cryptocurrency Features — Optional blockchain integration including Ethereum and Base network support for digital asset management

2.3 Access Model

Elysium operates on an invite-only and waitlist-based access model. Access to the Platform is not guaranteed and is granted at GGI’s sole discretion. We reserve the right to:

  • Accept or reject access requests for any reason or no reason
  • Limit the number of users, organizations, or agents on the Platform
  • Modify, suspend, or discontinue any feature or aspect of the Service at any time with or without notice
  • Introduce new features subject to additional terms

2.4 Service Availability

We strive to maintain high availability of the Platform, but we do not guarantee uninterrupted or error-free service. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice of planned maintenance windows.

3. Account Registration and Security

3.1 Account Creation

To access the Platform, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration and maintain the accuracy of your account information
  • Choose a strong, unique password and not reuse passwords from other services
  • Maintain the confidentiality of your account credentials, including your password and API token
  • Immediately notify us of any unauthorized use of your account or any other breach of security

3.2 Account Security

You are solely responsible for all activity that occurs under your account. This includes, without limitation:

  • All tasks, commands, and instructions issued to AI agents through your account
  • All marketplace transactions and wallet operations conducted through your account
  • All data, content, and configurations created or modified through your account
  • All third-party integrations authorized through your account

GGI will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 API Tokens

The Platform may issue API tokens for programmatic access. API tokens are equivalent to your account credentials and must be protected accordingly. You must not share API tokens in public code repositories, client-side code, or any publicly accessible location. If you believe an API token has been compromised, you must regenerate it immediately through your account settings and notify us.

3.4 Organizations

If you create or join an organization on the Platform, you agree to abide by the organization’s internal governance policies as established by its administrators. Organization administrators are responsible for managing members, roles, permissions, and organizational data. GGI is not responsible for disputes between organization members regarding access, authority, or data ownership within the organization.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. The following describes what you may and may not do when using Elysium.

4.1 Permitted Uses

You may use the Platform to:

  • Interact with AI agents for productivity, research, analysis, coding, writing, and other legitimate professional or personal purposes
  • Automate tasks and workflows within the bounds of applicable laws and the terms of any third-party services you connect
  • Build, customize, and deploy AI agent configurations within the capabilities provided by the Platform
  • Participate in the marketplace by listing, purchasing, or trading agent templates and configurations
  • Use the API to integrate Elysium capabilities into your own applications and workflows

4.2 Prohibited Uses

You agree not to use the Platform, directly or through AI agents, to:

  • Violate any law or regulation — Engage in any activity that violates applicable local, state, national, or international law, including but not limited to data protection, privacy, intellectual property, anti-spam, and export control laws
  • Generate harmful content — Create, distribute, or facilitate the creation of content that is defamatory, obscene, harmful, threatening, harassing, or that promotes violence, discrimination, or illegal activities
  • Engage in fraud or deception — Use AI agents to impersonate individuals or organizations, create deepfakes, generate misleading information, conduct phishing attacks, or engage in social engineering
  • Compromise security — Attempt to gain unauthorized access to other users’ accounts, data, or systems; deploy malware or exploit vulnerabilities; conduct denial-of-service attacks; or bypass security controls or rate limits
  • Scrape or harvest data — Use AI agents to systematically scrape, harvest, or collect data from third-party websites or services in violation of their terms of service or applicable law
  • Circumvent access controls — Attempt to bypass the invite-only access model, create multiple accounts to evade restrictions, or share account credentials with unauthorized parties
  • Reverse engineer — Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform, its AI agents, or associated models
  • Abuse platform resources — Consume excessive computational resources, storage, or bandwidth in a manner that degrades service for other users; operate cryptocurrency mining; or use the Platform as a proxy or relay service
  • Generate spam or unsolicited communications — Use AI agents to send unsolicited messages, spam, or bulk communications through the Platform or connected services
  • Develop competing products — Use the Platform or its outputs to develop, train, or improve AI models or products that compete directly with Elysium
  • Violate third-party rights — Use the Platform in a manner that infringes upon the intellectual property rights, privacy rights, or other rights of any third party

4.3 AI Agent Responsibility

AI agents on the Platform can perform autonomous actions including browsing the web, executing code, sending communications, and modifying data. You acknowledge and agree that:

  • You are responsible for the actions performed by AI agents operating under your account, including autonomous actions taken without your direct instruction
  • You should configure appropriate safety limits, approval thresholds, and sandboxing settings for your AI agents
  • You should review and monitor agent activity, particularly for high-stakes tasks involving financial transactions, external communications, or system modifications
  • GGI is not liable for unintended consequences of AI agent actions, including but not limited to data loss, financial loss, or reputational harm resulting from agent behavior

4.4 Enforcement

We reserve the right to investigate and take appropriate action against any suspected violations of this Acceptable Use Policy, including but not limited to suspending or terminating your account, removing content, reporting activity to law enforcement, and pursuing legal remedies.

5. Intellectual Property

5.1 GGI’s Intellectual Property

The Elysium platform, including but not limited to its software, architecture, protocols, cognitive systems, agent frameworks, user interface designs, algorithms, documentation, trademarks, trade dress, and all associated intellectual property, is and shall remain the exclusive property of Gray Group International, Inc.

“Elysium,” the Elysium logo, and all associated names, marks, designs, and trade dress are trademarks or registered trademarks of Gray Group International, Inc. You may not use these marks without our prior written consent.

These Terms do not grant you any right, title, or interest in the Platform or its intellectual property, except for the limited right to access and use the Platform in accordance with this Agreement.

5.2 Your Content and Data

You retain all rights, title, and interest in and to the content, data, and materials you create, upload, or input into the Platform (“User Content”). This includes your conversations, task instructions, knowledge base entries, agent configurations, and any other content you provide.

By using the Platform, you grant GGI a limited, non-exclusive, worldwide, royalty-free license to use, process, store, transmit, and display your User Content solely for the purpose of operating, maintaining, and improving the Service. This license terminates when you delete your content or your account, except to the extent required for legal compliance or as reflected in anonymized, aggregated data.

You represent and warrant that you have all necessary rights to your User Content and that your User Content does not violate any third-party rights or applicable laws.

5.3 Feedback

If you provide us with feedback, suggestions, ideas, or recommendations regarding the Platform (“Feedback”), you grant GGI a perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Platform or other products without any obligation to you. You acknowledge that GGI is not obligated to implement any Feedback.

5.4 Marketplace Content

If you list agent templates, configurations, or other content on the Elysium Marketplace, you retain ownership of that content but grant GGI and purchasing users a license to use, display, and execute that content in accordance with the marketplace terms applicable to the specific transaction. Marketplace sellers are responsible for ensuring their listings do not infringe upon third-party intellectual property rights.

6. AI-Generated Content

6.1 Nature of AI Outputs

The Platform utilizes large language models and other AI technologies to generate responses, perform analysis, write code, create content, and execute tasks. You acknowledge and agree that:

  • AI-generated content may be inaccurate, incomplete, outdated, biased, or otherwise unreliable
  • AI models may produce different outputs for the same or similar inputs (non-deterministic behavior)
  • AI-generated content may occasionally include fabricated information presented as fact (commonly known as “hallucinations”)
  • AI outputs do not represent the views, opinions, or endorsements of GGI, Anthropic, or any other entity

6.2 No Professional Advice

AI-generated content on the Platform does not constitute and should not be construed as professional advice of any kind, including but not limited to legal, financial, medical, tax, accounting, or investment advice. You should always consult qualified professionals for matters requiring professional expertise. Reliance on AI-generated content is at your own risk.

6.3 Ownership of AI Outputs

The legal status of ownership of AI-generated content is evolving. To the extent permitted by applicable law:

  • You may use AI-generated content produced through your use of the Platform for your personal and commercial purposes, subject to these Terms
  • GGI does not claim ownership of AI-generated content produced in response to your inputs
  • You are responsible for determining the intellectual property status and protectability of AI-generated content in your jurisdiction
  • Similar inputs from different users may produce similar outputs; GGI does not guarantee exclusivity of any AI-generated content

6.4 Your Responsibility

You are solely responsible for reviewing, verifying, and validating all AI-generated content before use. You agree not to hold GGI liable for any decisions, actions, or omissions based on AI-generated content. If you use AI-generated content in ways that affect others (such as publishing, distributing, or relying upon it for business decisions), you do so at your own risk and accept full responsibility for the consequences.

7. Payment Terms

7.1 Subscription Plans

Elysium offers multiple subscription tiers with varying levels of access, features, and resource allocations. The specific plans, pricing, and included features are described on our Pricing page. We reserve the right to modify pricing and plan features with 30 days’ notice to existing subscribers.

  • Free Tier— Limited access to Platform features with usage caps. No payment required.
  • Paid Tiers— Expanded access, higher resource limits, additional models, and premium features. Billed on a recurring basis (monthly or annually).
  • Enterprise— Custom pricing, dedicated support, and tailored configurations. Available upon request.

7.2 Billing and Payment

  • All paid subscriptions are billed in advance on a recurring basis (monthly or annually) through Stripe, our payment processor
  • You authorize GGI to charge your designated payment method for all fees due under your selected subscription plan
  • All fees are quoted and payable in United States Dollars (USD) unless otherwise specified
  • Fees are exclusive of applicable taxes (sales tax, VAT, GST, etc.), which will be added where required by law
  • You are responsible for providing accurate and current billing information and for updating it promptly if it changes

7.3 Free Trials

Paid plans may include a free trial period. At the end of the trial period, your subscription will automatically convert to a paid subscription at the applicable rate unless you cancel before the trial ends. You will be notified before the trial period expires. We reserve the right to limit free trial eligibility to one trial per user or organization.

7.4 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • We do not provide prorated refunds for partial billing periods. You will continue to have access to paid features until the end of your current billing period.
  • Annual subscriptions that are cancelled mid-term are not eligible for refunds of the remaining balance, except as required by applicable law.
  • GGI may issue refunds at its sole discretion for extraordinary circumstances. Refund requests should be directed to billing@graygroupintl.com.

7.5 Metered Usage and Overages

Certain Platform features are subject to metered usage limits (such as token consumption, API calls, and storage). If you exceed your plan’s included allocation:

  • You will be notified when approaching your usage limit
  • Service may be throttled or paused until the next billing cycle, unless you upgrade or purchase additional capacity
  • Existing in-progress tasks will be allowed to complete, but new LLM-dependent tasks may be queued

7.6 Marketplace Transactions

Marketplace purchases, sales, and wallet transactions are subject to the Platform’s marketplace terms. GGI may charge transaction fees or commissions on marketplace transactions. Disputes between buyers and sellers should first be resolved between the parties; GGI may provide mediation at its discretion.

7.7 Cryptocurrency Transactions

If you use blockchain-based features of the Platform, you acknowledge that cryptocurrency transactions are irreversible, that GGI has no ability to reverse or recover lost cryptocurrency, and that you are solely responsible for the security of your wallet credentials. GGI is not liable for any loss of cryptocurrency due to user error, security breaches of external wallets, network failures, or market volatility.

8. API Usage and Rate Limits

8.1 API Access

The Platform provides API access for programmatic integration. Your use of the API is subject to these Terms and any additional API-specific documentation and guidelines. By using the API, you agree to:

  • Authenticate all API requests with a valid API token
  • Respect rate limits, concurrency limits, and resource quotas applicable to your subscription plan
  • Implement proper error handling and respect HTTP status codes, including rate-limiting responses (HTTP 429)
  • Not share, publish, or expose API tokens in client-side code, public repositories, or any publicly accessible medium
  • Use the API in a manner that does not degrade service quality for other users

8.2 Rate Limits

API requests are subject to rate limits that vary by subscription plan and endpoint. Rate limits are enforced per user and per organization. Specific limits are documented in the API reference and may include:

  • Requests per minute and per hour for each endpoint category
  • Maximum concurrent tasks and browser sessions
  • Token consumption limits per request and per billing period
  • Rate limits for specific features such as group conversation creation (5 new groups per 60 seconds per user)

8.3 API Modifications

We may modify, version, deprecate, or discontinue API endpoints at any time. We will make reasonable efforts to provide advance notice of breaking changes and maintain backward compatibility where feasible. We are not liable for any disruptions or losses resulting from API modifications.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

Key aspects of our data handling include:

  • Your conversations and data may be processed by third-party AI model providers (primarily Anthropic) subject to their API terms
  • Payment information is processed by Stripe and is never stored on our servers
  • Credentials stored in the Vault are encrypted and isolated from AI model access
  • Our Personal Memory system filters personally identifiable information from learned preferences
  • We do not sell your personal information

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GGI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. GGI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, AND EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM RELIANCE ON SUCH CONTENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GGI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF GGI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GGI’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO GGI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

10.4 AI-Specific Disclaimers

Without limiting the foregoing, GGI specifically disclaims liability for: (a) any actions taken by AI agents that exceed your intended scope or instructions; (b) inaccuracies, hallucinations, or errors in AI-generated content; (c) data loss or corruption resulting from AI agent operations; (d) financial losses from marketplace transactions, wallet operations, or cryptocurrency features; and (e) any adverse consequences arising from the autonomous behavior of AI agents operating under your account.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gray Group International, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney’s fees) arising from or related to:

  • Your use of and access to the Platform, including any data, content, or actions generated by AI agents operating under your account
  • Your violation of any term of this Agreement, including the Acceptable Use Policy
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights and privacy rights
  • Any content or data you submit, post, or transmit through the Platform
  • Any dispute between you and any third party arising from your use of the Platform, marketplace transactions, or AI agent actions
  • Your negligence or willful misconduct

GGI reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with GGI in asserting any available defenses.

12. Termination

12.1 Termination by You

You may terminate your account and this Agreement at any time by contacting us or through your account settings. Upon termination, your right to access the Platform will cease immediately. You will remain responsible for any outstanding fees or obligations incurred prior to termination.

12.2 Termination by GGI

GGI may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms, the Acceptable Use Policy, or any other Platform policies
  • Engaging in activities that pose a security risk to the Platform or other users
  • Extended periods of account inactivity
  • Non-payment of fees
  • Request by law enforcement or government agencies
  • Discontinuation of the Platform or any part thereof
  • Unexpected technical, legal, or security issues

12.3 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Platform terminates immediately
  • All running tasks, agents, and automations will be stopped
  • You may request a copy of your data within 30 days of termination, after which your data will be deleted in accordance with our Privacy Policy
  • Any outstanding fees or charges remain payable
  • Marketplace listings will be delisted and pending transactions will be cancelled or refunded as appropriate
  • Wallet balances will be handled in accordance with our settlement procedures

12.4 Survival

The following provisions survive termination of this Agreement: Sections 5 (Intellectual Property), 6 (AI-Generated Content), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), 14 (Governing Law), and 16 (Severability), as well as any other provisions that by their nature should survive.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Platform informally by contacting us at legal@graygroupintl.com. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within that period, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that is not resolved through informal resolution shall be finally settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes. The arbitration shall be conducted by a single arbitrator.

  • The arbitration shall take place in the State of Florida, United States, or at the election of the claimant, may be conducted remotely via videoconference or telephone
  • The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
  • The arbitrator shall have the authority to award any remedy that would be available in court, except as limited by these Terms
  • Each party shall bear its own costs and attorney’s fees, unless the arbitrator determines that a claim was frivolous, in which case the non-prevailing party shall bear the costs

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

If a court or arbitrator determines that this class action waiver is unenforceable as to a particular claim, then only that claim (and no others) shall proceed in court, and the remaining claims shall be arbitrated individually.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or data security obligations. Additionally, claims within the jurisdiction of small claims court may be brought in such court.

13.5 Time Limitation

Any claim arising out of or related to these Terms or the Platform must be filed within one (1) year after the cause of action accrues. Claims filed after this period are permanently barred.

14. Governing Law

These Terms and any dispute arising out of or relating to them or the Platform shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law principles.

To the extent that any lawsuit or court proceeding is permitted under these Terms (including proceedings to confirm or enforce an arbitration award), you and GGI agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Florida, and you waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

15. Modifications to Terms

GGI reserves the right to modify these Terms at any time at its sole discretion. When we make material changes, we will:

  • Update the “Effective Date” and “Last Updated” dates at the top of this page
  • Provide notice through the Platform (such as a banner, notification, or email)
  • Allow a reasonable period (at least 30 days for material changes) before the new terms take effect

Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and terminate your account.

We recommend reviewing these Terms periodically. The most current version will always be available on this page.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms. The remaining provisions shall continue in full force and effect.

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and GGI regarding the use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written.

16.2 Waiver

The failure of GGI to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default is not a waiver of any subsequent default. No waiver shall be effective unless made in writing and signed by an authorized representative of GGI.

16.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without GGI’s prior written consent. Any attempt to assign or transfer without such consent will be null and void. GGI may assign these Terms, in whole or in part, at any time without your consent and without notice. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

16.4 Force Majeure

GGI shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including AI model providers and cloud infrastructure providers).
